These Terms of Sale (“Agreement”) govern the sale of physical products and associated services (“Products”) by Joruva Industrial, LLC (“Joruva,” “we,” “our,” or “us”) to our business customers (“you” or “Customer”). By placing an order through our website or by email, you agree to be bound by this Agreement.
1. B2B Transactions Only
Joruva sells exclusively to businesses and organizations. All sales are considered business-to-business (B2B) transactions. Joruva does not sell to individuals for personal, family, or household use.
2. Orders and Acceptance
All orders are subject to acceptance by Joruva. We reserve the right to refuse or cancel any order for any reason, including errors in pricing or availability. Orders may not be canceled once shipped.
3. Pricing
Prices are in U.S. dollars and do not include applicable taxes, duties, shipping, or handling charges unless explicitly stated. We reserve the right to change pricing at any time without notice. Typographical or clerical errors in pricing or offers are not binding.
4. Payment Terms
Unless otherwise agreed in writing, payment is due in full at the time of order. Accepted payment methods include credit card, ACH, wire transfer, or other approved payment types. Orders will not ship until payment has been received or terms are approved in writing.
5. Shipping and Risk of Loss
We will arrange shipping to the address you provide. Title and risk of loss pass to you upon our delivery to the carrier. Shipping times are estimates only and not guaranteed. We are not liable for delays outside our control.
6. Returns and Refunds
Return requests must be submitted within 30 days of delivery. Approved returns must be in original packaging and unused. Some items may not be returnable (e.g., opened service kits or special-order items). Please refer to our Refund & Return Policy for full details.
7. Limited Warranty
Products are warranted against manufacturing defects for a period as listed on the relevant product page or documentation. This warranty does not cover damage due to misuse, modification, improper installation, or normal wear. Joruva disclaims all other warranties, express or implied, including merchantability or fitness for a particular purpose. Please refer to our full warranty statement.
8. Limitation of Liability
To the maximum extent permitted by law, Joruva shall not be liable for any indirect, incidental, special, or consequential damages, including lost profits, even if we have been advised of the possibility of such damages. Our total liability shall not exceed the purchase price paid for the specific product giving rise to the claim.
9. Governing Law
This Agreement shall be governed by and construed under the laws of the State of Arizona, without regard to its conflict of law principles. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the courts located in Maricopa County, Arizona.
10. Updates
We may update these Terms of Sale at any time. Updates will be posted on this page, and continued purchases after changes take effect indicate your acceptance of the revised terms.
